Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 22, 2024, David Cowan notified Rigetti Computing, Inc. (the “Company”) that he would not stand for re-election to the Board of Directors of the Company upon the completion of his current term, which expires at the Company’s 2024 Annual Meeting of Stockholders. Mr. Cowan’s decision not to stand for re-election was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company thanks Mr. Cowan for his commitment and service to the Company.
